1. Who these terms are for
These terms govern the use of the mazi platform at joinmazi.ai by companies that run advertising with creator videos ("brands"). mazi is operated by HORIZONCAPITAL LTD, Gladstonos 16, 8046 Paphos, Cyprus ("mazi", "we"). mazi is offered to businesses only, not to consumers. Separate terms apply to creators.
By connecting your accounts or using the platform, you confirm that you are authorized to act for your company and accept these terms on its behalf. If an individual order or offer from us contains different terms, the order or offer takes precedence.
2. What mazi does
mazi connects brands with creators who produce AI-generated videos. Through the platform, brands select creator videos, and mazi creates and manages ad campaigns with those videos in the brand's own Meta ad account. mazi measures the results of each video and pays the creators on the brand's behalf.
3. Connecting your accounts
- To use mazi, you connect your Meta business assets (ad account, Facebook Page, Instagram account and pixel or dataset) through our Meta app "mazi". You can also connect your online shop so we can attribute sales to individual videos.
- You authorize mazi to create, edit, pause and analyze campaigns, ad sets, ads and creatives in the connected ad account, and to read the data described in our Privacy Policy.
- You remain the advertiser. You are responsible for your ad account, your payment method with Meta, your products, your landing pages and compliance with Meta's advertising policies and applicable law.
- You pay your ad spend directly to Meta. mazi does not pay Meta on your behalf unless we agree otherwise in writing.
4. Campaigns
mazi sets up campaigns using a standard structure, in which each creator receives a dedicated budget so that all creators get a fair test. You set the budget, the products and the period. We may pause individual ads if they violate Meta's policies or perform clearly worse than agreed thresholds. We don't guarantee any particular result.
5. Fees and creator payouts
- Fees and creator compensation are set out in your order or in the offer shown in the platform. They may be based on ad spend, attributed revenue or a fixed amount per video.
- Attribution and payout calculations are based on mazi's measurement, which combines Meta's reporting with mazi's own click and order tracking. mazi's records are the authoritative basis for invoicing, unless you show them to be wrong.
- Figures are finalized after a lock period stated in your order, to account for late reporting and refunds. Refunds that occur after that are offset against later invoices.
- We invoice monthly unless agreed otherwise. Invoices are due within 14 days. Prices are net of VAT.
6. Using creator videos
- You receive a non-exclusive, non-transferable right to use the creator videos you select only as ads in campaigns placed through mazi in your connected ad account, for as long as you use mazi.
- You may not download, copy, re-upload, edit or use mazi creator videos in any other way, including in other ad accounts, on other channels, on your website or in organic posts, unless you buy them out.
- If you use a video outside mazi, this counts as a buyout of that video at the price in the current buyout list, which we will invoice. A substantial share of buyout fees goes to the creator.
- So that we can check this, you agree to keep the connection to your ad account active while you use mazi and for 90 days afterward. We may compare the videos and ads in your connected account and in public ad libraries with our catalog.
- When you stop using mazi, you must pause the ads that use mazi videos, unless you buy the videos out.
7. Your content and data
You remain the owner of your brand assets, product information and data. You grant us the rights we need to use them in your campaigns. We process personal data as described in our Privacy Policy. Where we process personal data on your behalf, for example order data from your shop, we do so under a data processing agreement.
8. Confidentiality
Both sides keep the other side's non-public information confidential, including campaign data, prices and creator terms. Creators only receive information about their own videos and earnings, to the extent you agree to this.
9. Liability
We are liable without limitation for intent and gross negligence, and for injury to life, body or health. For slight negligence, we are only liable for breach of essential contractual obligations, limited to the damage typically foreseeable at the time of contracting and in any case to the fees you paid us in the twelve months before the claim. We are not liable for decisions, outages or policy changes by Meta or other platforms, or for the performance of your ads.
10. Term and termination
You can stop using mazi at any time by disconnecting your accounts and telling us. We can suspend or end your access if you breach these terms, Meta's policies or the law. Sections 5, 6, 8 and 9 continue to apply after termination.
11. Changes
We may update these terms. We will tell you about material changes by email at least 30 days in advance. If you continue using mazi after that, the new terms apply.
12. Governing law
These terms are governed by the laws of the Republic of Cyprus. The courts of Paphos, Cyprus, have jurisdiction, unless mandatory law provides otherwise.
